The Bayridge Village Affiliate Program Agreement

This agreement describes the terms and conditions of the Bayridge Village Affiliate Program.

I understand and agree to the following:

The term of this Agreement will begin upon our acceptance of your Affiliate application and will end when terminated by either party. Either you or the Bayridge Village may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn referral fees on sales occurring during the term.

To promote the Bayridge Village as stated in this agreement.
1. To promote only to visitors of your website and not to promote membership to the Bayridge Village for resale. I will not use or register, and do not currently own, any domain names, keywords or metatags that include, in whole or in part, any of The Bayridge Village's or The Bayridge Family Center's trademarks including, without limitation, the name THE BAYRIDGE VILLAGE or the name THE BAYRIDGE FAMILY CENTER, and I hereby consent to transfer to The Bayridge Village and the Bayridge Family Center any such domain names.
2. I understand that I am not selling memberships to The Bayridge Village or any of it's websites services or content or any of the resources in the Online Store or any counselling services from the Bayridge Village or the Bayridge Family Center. I understand that I am promoting the Bayridge Village website and will not be taking any money for the Bayridge Village or any money for the Bayridge Family Center. I understand that I am not selling anything to do with the Bayridge Village or the Bayridge Family Center but that I am only promoting the Bayridge Village website.
3. I agree that I will not start or be a partner or apart of a website that has Therapeutic Groups or Support Groups or any form of Online Counselling.
4. I understand that for as long as I am promoting the Bayridge Village as specified in this contract that I will receive commissions. Commissions are $3.00; per individual, per month, as long as the individual is a paying member of bayridgevillage.ca for the length of this contract. I understand that commissions are only paid for people who enter one of my assigned codes from the Bayridge Family Center and for people originating from my website. I understand that I will be remunerated for as long as I am under contract to promote the Bayridge Village and for as long as they are a member of a functioning site. The Bayridge Family Center guarantees the commissions will not change for six months. I understand that such commissions are paid monthly within ten days after the end of each month. Any commission payment due that is less than $50 for a specific month will be paid in subsequent months when the total commission due exceeds $50.
5. I recognize that I am only promoting the Bayridge Village and I have no power or authority to incur any debt, obligation or liability, or make any promise or contract on behalf of the Bayridge Village or The Bayridge Family Center. I understand that I am not a representative or an employee and I agree that I will not act as a representative or employee. I understand that I will not be treated as an employee with respect to federal, provincial or local tax purposes, and I am responsible for paying my own income and self-employment taxes.
Other Provisions
1. This agreement may not be transferred or otherwise assigned without the prior written consent of the Bayridge Village or the Bayridge Family Center.
2. All memberships to the Bayridge Village are subject to the acceptance by the Bayridge Village and maybe declined or canceled at anytime at the discretion of the Bayridge Village.
3. The Bayridge Family Center and the Bayridge Village reserves the right to discontinue resources or to change prices at any time for resources offered in the online store. The Bayridge Village reserves the right to change discounts at any time for resources in the online store.
4. You understand and agree that you will not 'Spam' (send unsolicited emails) to anyone that is not on your email list, meaning the email list from your website. This includes so-called targeted lists, opt-in campaigns that have no affiliation with the Bayridge Family Center or bayridgevillage.ca, or any un-solicited email mailing. Violation of this may result in the Bayridge Family Center terminating this agreement.
5. I understand that I am entering a contract beginning today's date to promote the Bayridge Village as specified in this agreement.

Promoting the Bayridge Village
1. I agree to place at least two Bayridge Village banner advertisements found on the Bayridge Village website on my website. I understand that Bayridge Village banner advertisements must come from the Bayridge Village website and that I cannot create my own.
2. I agree to place a link on my links page to the Bayridge Village website with the following description: "A Virtual Christian Counselling Center where you will be ale to connect to Christian Counsellors, Online Help, Resources and a Supportive Christian Community."
3. I agree to send the following email to everyone on my websites email list once every six months.

  Body of the email:We just wanted to email everyone to let them know about this great online Christian resource the Bayridge Village.

Limitation of Liability

Bayridge Family Center will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Affiliate Program or technical failure.

Disputes and Litigation

I agree to settle any dispute under this agreement under the laws of the Province of Ontario. Any litigation arising under this Agreement will be brought in the courts of the Province of Ontario, Canada. I understand that no warranties, claims or agreements have been made verbal or otherwise outside of this agreement.
